Membership Proposal The AMSP Executive Board recommends the following changes to the bylaws to better define the procedure for membership by a national organization and returning previous members. (6/7/21)
Current Bylaws Article 3: Membership Section I - Membership Types C. Corporate Sponsor - Corporate sponsorship is reserved for industry organizations that wish to more closely support the association. Associate members shall have privileges and membership dues as defined in association marketing documents Section V - Resignation and Renewal of Membership A. A Member in-good-standing who resigns may rejoin within a ninety day period by paying the full year’s dues. B. After 90 days the Company must reapply for Membership.
Replacement Language. C. National Member – Active membership requires that the member be in a medical equipment service related field. Member must be a national corporation with mutable operational regions. C1. National Member Region – Must be a operational region of a National member. Membership dues are ½ of full membership dues and has no voting rights.
Section V - Resignation and Renewal of Membership A. A member in-good-standing who resigns may rejoin within a ninety day period by paying the full year’s dues. B. After 90 days the Company must reapply for membership. The company must complete an application. After the application is received the application will immediately go out to the members for vote. Once Vote is approved potential new member will be invoiced. Once invoice is paid reapplication is complete.
Ethics Proposal The subcommittee on AMSP ethics recommends the following changes to the bylaws to better define expectations of AMSP member companies to remain “In Good Standing” with the AMSP group association. (6/7/21)
Current Bylaws – Article 3, Section II - Qualifications for admittance B. A Member must be a medical equipment service providerdefined as an entity that specializes in the repair and maintenance of medical equipment. C. A Member must have high professional work standards.
A Member shall respect all other Members’ accounts (serviced by modality) by conveying any information regarding that account (serviced by modality) that may benefit that Member. It is to be noted that the Association insists that common courtesy be employed with all information regarding a Members’ accounts regardless of modality serviced, and that such communications should be established prior to any actions taken on this information.
Any change in status of a Member in good standing, as pertains to outright purchase, acquisition, merger, affiliation, etc. is to be reviewed by the Executive Board with recommendations to be made
Replacement language for Article 3, Sec. II, B & C: B. A member must be a medical equipment service provider defined as an entity that specializes in the repair and maintenance of medical equipment. Prospective members must also have a history of doing business adhering to the following ethical standards:
When competing for the same business, prospective members must be found to compete in a fair and honest manner.
Prospective members must be found to have never defamed the reputation of a current member company or its employees
Prospective members should be found to have never committed tortious interference with another members customer or vendor contracts. (Tortious interference is interfering or trying to influence another party to break, or terminate early, a contractual obligation with another company)
C. For an AMSP member to remain “In Good Standing”:
Fellow members should never commit tortious interference with another members customer or vendor contracts. (Tortious interference is interfering or trying to influence another party to break, or terminate early, a contractual obligation with another company)
When fellow members companies are competing for the same business, they are to compete in a fair and honest manner.
Members are to never defame the reputation of a fellow member company or its employees
Information gathered through the AMSP meetings and member interactions should not be used against other member companies to gain a competitive advantage or negatively affect the other member company.
Member companies should strive to assist the other member companies to the extent that that assistance does not conflict with their own company’s vendor and customer obligations.
Member companies will not solicit for employment other members employees.
